Terms of service

The rules for using Team Spark®: who runs it, what you get, what we ask of you, and the limits of what we promise.

1. Who we are

Team Spark is a trading name of UXclinician Ltd (“we”, “us”, “our”), a company registered in England and Wales.

UXclinician Ltd also trades as UXC Accelerate at uxcgroup.com. These terms cover Team Spark only.

2. What these terms cover

2.1 These terms apply when you create a Team Spark account, when you are invited to join a team on Team Spark, and whenever you use the Team Spark website and app at dreamteamspark.com (the Service). By creating an account or accepting an invitation you agree to them.

2.2 If you are using Team Spark on behalf of an employer or another organisation, you confirm you have authority to accept these terms for it, and “you” includes that organisation. Where an organisation brings its own staff onto Team Spark, our data processing terms also apply between us and that organisation.

2.3 Coaching, consultancy, facilitated programmes and in-house work delivered by UXclinician Ltd outside the Service are agreed separately in writing and are not covered here.

3. What Team Spark is

3.1 Team Spark is a web app that helps a team run a structured programme of short team-development workshops. A facilitator sets up a team and invites members by email. During each workshop, members answer short reflective exercises. Between workshops, members can catch up on sessions they missed, and the team can review a short insights and suggestions report for each module.

3.2 Anonymous by design. The answers members give in a workshop are stored without any name, account identifier or timestamp attached. They cannot be traced back to the person who wrote them, by you or by us. Answers are only ever shown once enough members have responded for no one to be identifiable, and then only as themes. Attendance (who signed in to a session) is recorded separately and is never joined to answers.

3.3 Insights and suggestions reports. We use an automated language model to collate a team's anonymous, threshold-gated answers into a short insights and suggestions report, in a version for the team and a version for the manager. The insights report is generated from what the team wrote; it is not clinical, legal, HR or employment advice, and it is not a substitute for a conversation with your team.

3.4 Not therapy. Team Spark draws on psychology, but it is team development, not therapy, counselling or a mental-health service. Nothing in the Service constitutes clinical advice, diagnosis or treatment. If you or a colleague need support, please seek it from a suitable professional.

4. Accounts

4.1 You need an account to use the Service. You must give a real name and an email address you control, and keep your password secure. We store passwords only as a one-way hash. You are responsible for everything done through your account until you tell us it has been compromised.

4.2 You must be at least [NEEDS: minimum age; 18 is usual for a workplace product] and using the Service for work with a team, not for personal or household purposes.

4.3 You can edit your details, export your reports and delete your account at any time from within the Service. Section 10 explains what deletion does.

5. Facilitators, members and organisation admins

5.1 Facilitators create teams, invite members, run sessions and see the team's reports. If you invite people, you must have a legitimate reason to (they are your team, or you have been asked to facilitate them), and you must not add people who have asked not to be included.

5.2 Members join a team by invitation. Taking part in a workshop, and answering any exercise, is voluntary. A member can leave a team at any time.

5.3 Organisation admins can see which teams exist within their organisation and manage facilitators. They cannot see any member's individual answers, because none are stored.

5.4 Managers' reports. Where a manager version of an insights and suggestions report is produced, it contains only the same anonymous themes and actions as the team version, framed for the manager. It never identifies who said what.

6. Acceptable use

You agree not to:

We may suspend or close an account, or remove a team, if we reasonably believe these rules have been broken. Where we can, we will tell you first.

7. Price and payment

7.1 The free workshop (M0) costs nothing for the whole team. The programme itself (M1–M6) is then bought in one of two ways:

7.3 UXclinician Ltd is not VAT registered, so no VAT is charged and the prices above are final.

7.4 An instalment plan is six fixed payments. It ends automatically once the sixth payment is taken; there is no ongoing subscription to cancel. [NEEDS: payment terms. There is no payment or billing integration in the Service yet. When one is added, this section should say who the payment provider is, when the contract starts, what happens on a missed instalment, and whether any consumer cooling-off applies. Until then, that provider's own terms will also apply to a purchase.]

7.5 We may change the price by giving you at least 30 days' notice by email. The new price applies from your next purchase after that notice.

8. Your content and our content

8.1 Your content. You keep ownership of anything you or your team enter into the Service. You give us a licence to store, process and display it as needed to run the Service for your team, including generating reports. Anonymous workshop answers, by their nature, are not attributable to any individual or account.

8.2 Our content. The workshop programme, exercises, prompts, illustrations, software and the Team Spark name and branding belong to UXclinician Ltd or its licensors. You may use them within the Service for your team. You may not copy, adapt, publish, teach from or share them outside the Service without our written consent, except for reports exported for your own team's use. Team Spark® is a registered trademark of UXclinician Ltd. You may not use it without our written permission.

8.3 Improving the programme. We may use anonymous, aggregated information about how the Service is used, and anonymous themes that cannot be linked to any person or team, to improve the programme and for research. We will not publish anything that identifies your organisation without permission.

9. Availability, changes and support

9.1 We aim to keep the Service available, but we do not promise it will be uninterrupted or error-free. We may take it down for maintenance and will try to do so outside UK working hours.

9.2 We may change or improve the Service, including the workshop content, from time to time. If a change materially reduces what you are paying for on a purchase you have not yet used in full (a one-off purchase, a pay-in-full purchase or an instalment plan), you may cancel it. 9.3 Support is by email at support@uxcgroup.com. A person will reply.

10. Ending things

10.1 By you. You may delete your account at any time. Deleting your account removes your name and email, your team memberships, your attendance records, your catch-up progress and any record of reports emailed to you. Anonymous workshop answers are not linked to you and so remain part of the team's themes. A facilitator who deletes their account should first hand the team to another facilitator or the team will [NEEDS: what happens to a team whose only facilitator leaves].

10.2 By us. We may end your access if you break these terms or if the Service is discontinued. If an instalment payment is missed, we may pause your access to further workshops until it is made. [NEEDS: confirm] We will give reasonable notice except where we must act immediately to protect the Service or other users.

10.3 Sections 8, 11, 12 and 13 continue to apply after your account is closed.

11. Our responsibility to you

11.1 We will provide the Service with reasonable care and skill. If we do not, tell us and we will try to put it right.

11.2 We do not exclude or limit our liability where it would be unlawful to do so, including for death or personal injury caused by our negligence, or for fraud.

11.3 Subject to 11.2, our total liability to you and your organisation arising out of the Service in any twelve-month period is limited to the amount you paid us for the Service in that period, and we are not liable for loss of profit, income or business opportunity, loss of data that you could reasonably have backed up (for example by exporting your reports), or for any indirect or consequential loss.

11.4 Decisions you or your organisation take on the basis of a Team Spark insights and suggestions report are yours. Reports summarise what a team chose to say; they are a starting point for a conversation, not a diagnosis of a team or a judgement on anyone in it.

12. Privacy and cookies

How we handle personal data is set out in our privacy notice. What the Service stores on your device is set out in our cookie policy. Where an organisation is the data controller for its staff, our data processing terms apply.

13. Other important terms

13.1 We may transfer our rights and obligations under these terms to another organisation. We will tell you in writing, and the transfer will not affect your rights.

13.2 Nobody other than you, your organisation and us has any right to enforce these terms.

13.3 If a court finds part of these terms unlawful, the rest continues in force.

13.4 If we do not insist straight away that you do something these terms require, we can still require it later.

13.5 We may update these terms. We will tell you by email or in the Service at least 14 days before a material change takes effect. If you keep using the Service after that, the new terms apply.

13.6 These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you live in Scotland or Northern Ireland you may also bring proceedings in your local courts.
